Bill Pay Agreement (Continued)
NOTICES
AND COMMUNICATIONS
You agree that we may send or provide by electronic communication
any notice, communication, or disclosure required to be provided
orally or in writing to you. We may require written paper confirmation
from you of any electronic communication which this Agreement
permits you to make to us.
TERMINATION
You may terminate your use of the Service at any time by calling
HABERSHAM BANK Customer Service at 1-800-822-0316. We may terminate your use of the Service, in whole
or in part, at any time without cause or prior notice, other than
any required by federal or state law. Your access to the Service
will be terminated automatically if your account is closed, or
access to your account is restricted, for any reason. If you would
like to transfer the Service to a different account with us, you
must provide three (3) business days advance written notice. Termination
will not affect your liability or obligations under this Agreement.
LIMITATION OF LIABILITY
Except as otherwise provided in this Agreement or by law, we are
not responsible for any loss, injury or damage, whether direct,
indirect, special or consequential, caused by the Service or the
use thereof or arising in any way out of the installation, use
of maintenance of your telephone or other telecommunication equipment
or personal computer.
ENTIRE AGREEMENT
This agreement is the complete and exclusive agreement between
you and us related to the Service and supplements any other agreement
or disclosure related to your Account. In the event of a conflict
between this Agreement and any other agreement or disclosure related
to your Account or any statement by our employees or agents, this
Agreement shall control.
WAIVERS
No delay or omission by us in exercising any rights or remedies
thereunder shall impair such right or remedy or be construed as
a waiver of any such right or remedy. Any single or partial exercise
of a right or remedy shall not preclude further exercise therefore
or the exercise of any other right or remedy. No waiver shall
be valid unless in writing signed by us.
ASSIGNMENT
You may not assign this Agreement to any other party. We may assign
this Agreement or delegate any or all of our rights and responsibilities
under this agreement to any third party.
GOVERNING LAW
All matters, whether sounding in contract or tort, relating to
the validity, construction, interpretation, or enforcement of
this agreement, shall unless governed by federal law, be determined
by the laws of the State of Georgia, without regard to that state's
choice of law rules, whether you are now or later become a resident
of another state.
AMENDMENTS
We may modify or amend this Agreement at any time upon proper
notice to you. When changes are made, we will update this agreement
at the Website. Changes will be effective when first updated on
the Website unless law, rule, or regulation requires advance notice
in which case the change will be effective in accordance with
the law, rule, or regulation.
